Ontario Basketball Annual Meeting of Members

1. Call to Order

The meeting was called to order by Parliamentarian Bob Borden at 11:21 a.m.

2. Opening Remarks (President)

Stephanie Rudnick (President) thanked Ontario Basketball (OBA) staff and Board of Directors for their commitment to the organization.

3. Appointment of Scrutineers (Parliamentarian)

Kauri LaFontaine and Trina Savoie were appointed as scrutineers.

4. Report of Scrutineers (Parliamentarian)

The scrutineers reported that there were 72 votes in the room.

5. Approval of Agenda

The election (previously item #12) was shifted to take place earlier in the meeting (item #9) to provide the Regent with additional time to count the ballots prior to announcing the election results. The amended agenda was unanimously approved by the membership.

6. Minutes of Last Meeting – Annual Meeting of Members (November 4, 2017)

The members were asked to review the minutes of the 2017 Annual Meeting of Members and bring any corrections forward.

7. Approval of Minutes

With no corrections brought forward for the 2017 Annual Meeting of Members minutes, Borden announced that the minutes were approved as printed.

8. Business Arising Out of the Minutes

There was no business arising out of the minutes.

9. Election

John Lovett (Nominating Chair) invited the attending Board of Director nominees to speak for three minutes each. After the nominees addressed those in attendance about their interest in and qualifications for the Board of Directors, all remaining ballots were submitted.

10. Board & Program Committee Reports

I. Executive Committee (President)

There was no report.

II. Finance Committee (Director of Finance or Designate)

  • Report of the Auditors

David Coulthard (Treasurer) reported another successful financial year for the organization. OBA has had a surplus for the past five years, which is especially notable given the significant growth that has occurred during this time. While the goal of a not-for-profit is not to generate profit, it is important to not run a deficit for an extended period of time, which was the situation more than five years ago. The surplus will allow the organization to recover if unexpected costs occur. Coulthard thanked Ontario Basketball staff for their work on the organization’s finances.

As approved by the membership, the financial statements of OBA were audited by MacNeill Edmundson Professional Corporation for the fiscal year ending August 31, 2018.

  • Appointment of Auditors

Lovett announced that MacNeill Edmundson Professional Corporation was approved through the election to audit Ontario Basketball’s financial statements for the fiscal year ending August 31, 2019.

11. Staff Reports

I. Presentation of Ontario Basketball Annual Report

Jason Jansson (Executive Director) announced that Ontario Basketball’s 2017–18 Annual Report, which summarizes the organization’s activities for the past year, was posted on the Ontario Basketball website on Monday, November 5, 2018. The membership had no questions with respect to the report.

II. Report on Club Excellence Strategy

Mike Barbin (Director of Clubs and Competitions) and Vance Abreu (Clubs and Competitions Intern) presented an update on Ontario Basketball’s Club Excellence Strategy. Barbin presented the concept to the membership in advance of the 2017 Annual Meeting of Members, and over the last year a Club Excellence Committee was established to develop the framework and criteria. The Committee created a framework with the following five pillars:

  1. LTAD/CS4L Alignment & Program Delivery
  2. Coaching & Education
  3. Athlete Well-Being
  4. Membership and Registration
  5. Governance and Administration

The Committee will finalize the Club Excellence framework and criteria and submit it to the Board of Directors for approval. In early 2019, Ontario Basketball will release a call for applications for clubs to pilot the program. Based on feedback from the pilot period, Ontario Basketball will revise the framework and then devise an implementation plan.

12. Notice of Motions

There were no motions for discussion or adoption.

13. Announcement of Directors (Chair, Nominating Committee)

Lovett announced Erica Gavel (Incumbent), Mike Quigley (Incumbent), John Rocchi (Incumbent), and Stephanie Rudnick (Incumbent) as the successful candidates of the Board of Directors election.

14. Motion to Destroy Ballots (Chair, Nominating Committee)

Motion: To destroy the 2018 election ballots.

Moved by Terry Chatten, Seconded by Greg Verner, CARRIED

15. New Business

There was a discussion among those in attendance about the possibility of mandating Ontario Basketball League in the future for teams wishing to compete in Provincial Championships (Division 1) and about the rules surrounding Ontario Scholastic Basketball Association players competing on Ontario Basketball club teams.

16. Closing Remarks (President)

Rudnick thanked Ontario Basketball staff for their hard work in putting the meeting together. She also thanked everyone in attendance and encouraged them to bring their colleagues to future meetings.

17. Adjournment

Motion: To adjourn the 2018 Annual Meeting of Members.
